NovoReports ("NovoReports") grants you a license to, and in no case sells to you, the software, documentation and files accompanying this license, whether on diskette, ROM or any other support, only for use in accordance with the terms of this agreement. NovoReports reserves all rights not expressly granted to you. The licenses granted herein are limited to the intellectual property rights of NovoReports and its licensors in the NovoReports software and do not include any other patents or intellectual property rights. You own the media on which the NovoReports software is registered, but NovoReports and/or the NovoReports licensors remain the owners of the NovoReports software. The rights granted under the terms of this license apply to all software updates used to replace and/or supplement the original NovoReports software, unless these updates include a separate license.
The title and intellectual property rights included in the NovoReports software or in any content displayed by the NovoReports software or accessible through the NovoReports software are the property of their respective author. This content may be protected by copyright or other intellectual property laws or treaties and may be subject to the terms of use of the third party providing it. This license does not give you any right to use this content.
This license entitles you to install and use a single copy of the NovoReports software on a single computer at a time. This license does not allow the operation of NovoReports software on more than one computer at a time, or on a network where it may be used by more than one computer at a time. You may only make one copy of the NovoReports software in machine language for the sole purpose of backup, provided that such backup copy must reproduces the copyright or other proprietary information contained on the original. Except and exclusively to the extent permitted by this license or applicable law, you may not copy, decompile, reverse engineer, disassemble, modify, or create derivative works of the NovoReports software or any part of it. You may only open, view, modify, or create the files, produced by the NovoReports software, with the official NovoReports software. THE NovoReports SOFTWARE IS NOT INTENDED FOR USE IN THE OPERATION OF NUCLEAR FACILITIES, NAVIGATION SYSTEMS OR AIR COMMUNICATION SYSTEMS, AIR TRAFFIC CONTROL SYSTEMS, ARTIFICIAL SURVIVAL EQUIPMENT OR OTHER EQUIPMENT, OR ANY FAILURE NovoReports SOFTWARE COULD CAUSE DEATH OR SERIOUS PERSONAL OR ENVIRONMENTAL DAMAGE.
You may not rent, lease, lend or license NovoReports software. You may, however, make a one-time, permanent transfer of all your rights of the NovoReports software to another party provided that: (a) the transfer includes all NovoReports software, including all of its components, original data , printed documents as well as the license; (b) you do not keep any copy of the NovoReports Software, complete or partial, including any copy stored on a computer or other storage unit; and (c) the receiving party becomes aware of and accepts the terms and conditions of this license.
Updates: If a NovoReports software update replaces the full (full install) version of a previous version of this NovoReports software for which a license was granted, you may not use both versions of the NovoReports software at the same time or to assign them separately.
Unauthorized Sale of Copies: Notwithstanding the contents of other sections of this License, NovoReports software may be used only for demonstration, testing and evaluation purposes. It can not be resold or transferred in any case.
NovoReports does not accept the deposit of material and / or information of a confidential or privileged nature through this software. Any information or material sent to NovoReports will not be considered confidential. Sending information or materials of any kind to NovoReports will grant the latter the unlimited and irrevocable right to use, reproduce, display, perform, modify, transmit and distribute said materials and information; sending is also considered as an authorization for free use by NovoReports of any idea, technique, or any concept or know-how that would be sent to us for any purpose whatsoever. However, your name will not be communicated and no advertising will be broadcast on the fact that you have provided materials or other information. By information or materials sent, are meant texts, messages, ideas, concepts, graphics, photographs, drawings, videos, audiovisual works, or biographical material belonging to you and / or belonging to other persons, or other similar material that will be transmitted, published, downloaded, integrated, exposed, communicated or distributed on or through NovoReports. Materials that you submit to NovoReports through the software, published or downloaded, will be treated as non-confidential and non-patented, and NovoReports will not assume any liability, obligation or commitment concerning them or concerning the reception or not of these. If unsolicited materials are sent intentionally or accidentally, on or through our software, you do so being aware that there is no agreement between us. You therefore agree to send this material, without a confidentiality or trust report, and therefore will not be entitled to any review, compensation or counter-performance of any kind on our part. However, NovoReports can request the submission of hardware through features or activities on its own software. Materials and information that we expressly request to be provided, through a feature of the software are subject to the subscription and acceptance of information in force regarding the processing of personal data.
You are responsible for Internet charges or charges for using NovoReports on your computer or smartphone / tablet. We strongly recommend that you check the connection fees with your ISP or mobile data provider before using NovoReports. You can download NovoReports free of charge and without payment of any compensation in addition to the connection costs mentioned above. As part of NovoReports, some features are billed.
The Purchase creates a signed legal agreement across computer networks between you (hereinafter referred to as "the customer" and / or "the customers") and NovoReports. The Purchase agreement for access to content or digital services in NovoReports is deemed to be concluded when payment of the corresponding invoice is made.
The Purchase is made to customers - understood as being a company with an active business account on NovoReports.com and having granted authorization to its staff members (employee) to perform Purchasing on behalf of it on the software NovoReports. Children under 18 are not allowed to buy on our software.
The customer purchases access to billable digital content or services, the features of which are described in the appropriate sections of the software at the price indicated at the time of the request for confirmation of the transaction. The unit cost of each digital content or service is displayed before the transaction confirmation step. The Purchase is added to the business account of the company through the user who makes the Purchase on the software NovoReports.
The customer agrees to pay, using one of the payment methods accepted by NovoReports, to NovoReports the total amount of invoices that are sent to him by NovoReports, before the due date mentioned on these invoices.
Access to content or activation of purchased digital services will be automatically performed as soon as NovoReports confirms, via one of the NovoReports validation systems, the user's transaction has been performed, verified and properly recorded in the customer's account. Once the Purchase has been confirmed, NovoReports can not be held responsible for any damage, loss, or destruction concerning the software or the files produced. The customer and / or the user is responsible for recording and keeping the files produced with the purchases. Purchases remain in the customer's availability for at least two (2) years from the date of purchase and will not be refunded or reactivated in other softwares of NovoReports. NovoReports can not be held responsible for the unavailability of the Purchases in case of change, alteration, interruption, suspension, modification, loss of informations or closure of the software NovoReports.
This license is applicable until its end. Your rights under this license will automatically terminate without notice from NovoReports if you do not comply with any of its provisions. Upon the expiration of this license, you will be required to cease all use of the NovoReports software and to destroy all copies, complete or partial, of such software.
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT THE USE OF THE NovoReports SOFTWARE IS AT YOUR OWN RISK AND THAT THE ENTIRE RISK AS TO THE SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFICIENCY IS FITTED ON YOU. THE NovoReports SOFTWARE IS PROVIDED "AS IS" WITH ALL FAULTS AND WITHOUT ANY WARRANTY OF ANY KIND. NovoReports AND NovoReports LICENSORS (COLLECTIVELY DESIGNATED BY THE TERM "NovoReports") EXCLUDE BY THIS LICENSE ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES AND / OR CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, MERCHANDISE, SATISFACTORY QUALITY, SUITABILITY FOR A PARTICULAR PURPOSE, ACCURACY, SERENITY OF USE AND NON-USE ON THE RIGHTS OF THIRD PARTIES, ALL ABOUT THE SOFTWARE NovoReports. NovoReports DOES NOT WARRANT THAT NO DISTURBANCES WILL BE MADE IN THE USE OF THE NovoReports SOFTWARE, THAT THE FUNCTIONS CONTAINED IN THE NovoReports SOFTWARE WILL MEET YOUR NEEDS, THAT THE OPERATION OF THE NovoReports SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT THE NovoReports SOFTWARE WILL BE COMPATIBLE WITH ANY THIRD PARTY SOFTWARE OR ANY DEFECTS IN THE NovoReports SOFTWARE WILL BE CORRECTED. NO INFORMATION OR ADVICE NOTIFIED VERBALLY OR IN WRITING BY NovoReports OR ANY OF ITS AUTHORIZED REPRESENTATIVES SHALL CREATE A WARRANTY. SHOULD THE NovoReports SOFTWARE PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. SOME LEGISLATION DOES NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON CONSUMER RIGHTS IN FORCE. NovoReports, its representatives, members and affiliates shall in no circumstances be held liable, directly or indirectly, to you or any other person for reports obtained via NovoReports or any inaccuracy, error, omission or refusal of acceptance by any authority, raised in these.
TO THE EXTENT THAT LEGISLATION DOES NOT PROHIBIT, IN NO EVENT WILL NovoReports BE LIABLE FOR ANY PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FROM LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION OR OTHER COMMERCIAL DAMAGE OR COMMERCIAL LOSS RESULTING FROM OR RELATING TO YOUR USE OR INABILITY TO USE THE NovoReports SOFTWARE, WHATEVER CAUSE, WITHOUT TAKING ACCOUNT OF THEORY OF LIABILITY (WHETHER FOR BREACH OF CONTRACT, CIVIL LIABILITY, OR OTHERWISE) AND EVEN IF NovoReports WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You can use NovoReports software only in Canada.
This license constitutes the entire agreement between the parties as to the use of the NovoReports software that is the subject of this license, and supersedes all previous or current written or verbal proposals or agreements in this regard. No amendment or modification of this license shall take effect unless it is in writing and signed by a duly authorized representative of NovoReports. Any translation of this license is for local purposes. In the event of a dispute between the English version and any other version, only the English version will apply.
